Terms of Service

By accessing or using ZeroFlag AI (the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree, do not use the Service. Continued use after any modification constitutes acceptance of the revised Terms.

• “Service” — the ZeroFlag AI web application, Chrome extension, and associated APIs.
• “User” / “you” — any individual or entity accessing or using the Service.
• “Content” — product listing text (titles, descriptions, bullets, keywords) you submit for scanning.
• “Scan Result” — the compliance analysis output generated in response to submitted Content.
• “Subscription” — a paid plan (Pro or Business) granting access to premium features.
• “ZeroFlag AI” / “we” / “us” — AiLaiLe Technology Limited, operating the Service.

ZeroFlag AI provides AI-powered compliance risk detection for e-commerce product listings on Amazon, TikTok Shop, Walmart, and Wayfair. We use machine learning models and the Google Gemini API to identify potential policy violations.

Scan results are informational only. They do not constitute legal advice, do not guarantee platform compliance, and do not protect against enforcement actions by any e-commerce platform. Platform policies change frequently without notice. We make no representation that a listing passing our scan will not be flagged, removed, or penalised.

The Chrome extension reads listing form fields directly from supported seller dashboard pages. It does not access marketplace buyer-facing pages, interact with platform APIs, or read data beyond what is needed to perform the requested scan.

You must provide accurate information when creating an account and maintain its confidentiality.

• You must be at least 16 years old to create an account.
• You may not create accounts to abuse the free tier or circumvent rate limits.
• You must notify us immediately of any unauthorised use at ailailetech@gmail.com.
• We may suspend accounts that violate these Terms.

For OAuth accounts (Google, Microsoft, GitHub), your authentication is governed by your chosen provider's terms. We receive only your email and display name.

You agree not to:

• Submit Content you do not have the right to use or disclose.
• Reverse-engineer, decompile, or extract the Service's rule libraries, AI models, or proprietary algorithms.
• Use the Service's API or Chrome extension to build a competing compliance scanning product.
• Conduct automated scanning beyond the rate limits of your plan.
• Circumvent or interfere with security-related features of the Service.
• Use the Service in violation of applicable law, including IP, data privacy, or consumer protection law.

ZeroFlag AI scans listing content for compliance risks but does not replace your obligation to comply with the terms of service, seller agreements, and policies of the e-commerce platforms on which you operate (Amazon, TikTok Shop, Walmart, Wayfair, and others).

You are solely responsible for ensuring that: (a) your use of the Service complies with each platform's rules regarding automation, data access, and seller tools; (b) any listing you publish complies with applicable platform policies at the time of publication; and (c) you do not use Scan Results to continue publishing non-compliant content while attempting to evade detection.

ZeroFlag AI disclaims all liability arising from your violation of third-party platform terms or from enforcement actions taken by any platform against your account, regardless of whether a scan indicated compliance risk or not.

Free Plan: Up to 5 single-listing scans per day. No payment required. Features subject to change.

Paid Subscriptions: Billed in advance monthly or annually via Stripe. Prices displayed in USD, exclusive of applicable taxes.

• Free trial: Pro plan includes a 14-day free trial for new subscribers. Your payment method will be charged automatically when the trial ends unless you cancel beforehand.
• Cancellation: You may cancel at any time. Access continues until the end of the billing period. No partial refunds for unused time.
• Refunds: We offer a full refund within 7 days of your first charge (excluding trial-to-paid conversions after the trial period). EU and UK consumers may have additional statutory rights — see below.
• EU / UK consumers — right of withdrawal: If you are an EU or UK consumer, you have a statutory 14-day right of withdrawal from digital service contracts. This right may be waived if you expressly consent to immediate service delivery. By subscribing and using the Service after checkout, you consent to immediate delivery and acknowledge that the 14-day withdrawal right ceases once the Service has been fully performed, or upon first use where applicable under your national law.
• Price changes: We will provide at least 30 days' advance notice to existing subscribers before increasing prices.
• Failed payments: If payment fails, we will retry and notify you. Access may be suspended after reasonable collection attempts.

All billing processed by Stripe. By subscribing you also agree to Stripe's Terms of Service.

The Service, including the web application, Chrome extension, rule libraries, compliance algorithms, AI prompts, and all associated software and documentation, is owned by AiLaiLe Technology Limited (trading as ZeroFlag AI) and protected by applicable IP laws.

You may not copy, modify, distribute, or create derivative works without our prior written consent.

You retain all ownership rights to Content you submit. By submitting Content, you grant ZeroFlag AI a limited, non-exclusive, royalty-free licence to process and store your Content solely to deliver Scan Results to you.

We do not instruct our AI provider to use your Content for model training. However, we cannot guarantee the data practices of third-party AI providers. See our Privacy Policy §6 for details.

You represent that: (a) you have the right to submit the Content; (b) the Content does not infringe third-party rights; and (c) you will not use Scan Results to facilitate continued infringement.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROFLAG AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) SCAN RESULTS WILL BE ACCURATE, COMPLETE, OR FREE OF FALSE POSITIVES OR NEGATIVES; (C) THE SERVICE WILL PREVENT LISTING REMOVAL, ACCOUNT SUSPENSION, OR ANY OTHER ENFORCEMENT ACTION BY ANY E-COMMERCE PLATFORM; OR (D) ANY DEFECTS WILL BE CORRECTED.

Statutory rights of consumers in certain jurisdictions (including EU and UK) may limit the scope of these disclaimers. Nothing in this clause affects any non-excludable statutory rights you may have.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROFLAG AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF BUSINESS, OR LISTING REMOVAL BY ANY PLATFORM.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

EU and UK consumer protection laws may prevent the exclusion or limitation of certain liabilities. Nothing in this clause limits your statutory rights in those jurisdictions, including rights against defective services under applicable consumer law.

You agree to indemnify and hold harmless ZeroFlag AI and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any third-party platform's terms of service or any applicable law.

By you: Delete your account at any time via Settings → Delete account.

By us: We may suspend or terminate your access for material breach of these Terms, fraudulent activity, non-payment, or as required by law. For paid subscribers, we will provide reasonable notice (at least 30 days) before termination unless the breach is a serious violation (e.g., fraud, illegal activity), in which case immediate termination applies.

EU and UK consumers may have additional rights on contract termination. Nothing in this clause limits mandatory consumer protections in your jurisdiction.

Sections 8–12 and 14–17 survive termination.

Informal resolution: Contact us at ailailetech@gmail.com and attempt informal resolution for at least 30 days before initiating formal proceedings.

Binding arbitration (US users): For users contracting with us from the United States, unresolved disputes shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Class action waiver (US): US users and ZeroFlag AI agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative action.

EU / UK / EEA users: The mandatory arbitration clause and class action waiver above do not applyto users in the EU, UK, or EEA. Such users retain all rights under applicable consumer law, including access to the courts of their country of residence and the right to use any ADR scheme required by law. The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except that: (a) for disputes subject to arbitration, the Federal Arbitration Act governs; and (b) for EU/UK consumers, the mandatory consumer protection laws of your country of habitual residence also apply and take precedence where they provide greater protection.

We may update these Terms. For material changes, we will provide at least 14 days' advance notice by email (registered users) or prominent site notice. Your continued use after the effective date constitutes acceptance. If you do not accept revised Terms, you may close your account before they take effect.

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and ZeroFlag AI regarding the Service.
• Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; remaining provisions remain in full force.
• No waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment: You may not assign rights without our prior written consent. We may assign freely, provided this does not reduce your rights.
• Force majeure: We are not liable for delays caused by circumstances beyond our reasonable control.
• Export compliance: You agree to comply with all applicable export and re-export control laws.
